Performance, Results, and Warranties

Warranty Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED “AS IS” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Intellectual Property Rights

Client-Owned Content

You retain ownership of all pre-existing trademarks, copyrights, and intellectual property
You grant us a limited license to use your brand materials solely for providing agreed services
We will not use your confidential information for any purpose other than service delivery

GEORankAI-Created Content

Content created specifically for your project becomes your property upon full payment
We retain rights to our methodologies, processes, and general knowledge gained
We may use anonymized case study data for marketing purposes unless otherwise agreed
Any pre-existing GEORankAI intellectual property remains our property

Third-Party Content

All third-party content used in our services is properly licensed or falls under fair use
Clients are responsible for ensuring they have rights to any content they provide

Limitation of Liability and Indemnification

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability for any claims related to our services shall not exceed the total amount paid by you for services in the 12 months preceding the claim

Client Indemnification

You agree to indemnify and hold harmless GEORankAI from any claims, damages, or costs arising from:

Content or information you provide that infringes third-party rights
Your business operations or industry-specific issues

Termination and Post-Termination

Termination by Either Party

For Convenience: Either party may terminate ongoing services with 30 days written notice
For Cause: Either party may terminate immediately for material breach that remains uncured for 15 days after written notice
Project-Based Work: Specific project termination terms are outlined in individual service agreements

Immediate Termination

We reserve the right to immediately terminate services if:

Client engages in illegal activities or violates platform terms of service
Client provides false or misleading information
Payment is more than 60 days overdue
Client’s actions put our reputation or other clients at risk

Post-Termination

All outstanding invoices become immediately due and payable
We will provide final reports and deliverables for completed work
Work-in-progress may be delivered at our discretion based on payment status
Confidentiality obligations survive termination indefinitely
You retain ownership of completed, paid-for deliverables
We retain the right to remove our credits and links after termination

No Guaranteed Results

Increased traffic, leads, or sales
Immunity from AI platform algorithm changes

Dispute Resolution and Governing Law
